  2. IMPORTANT
  3. PLEASE READ BEFORE INSTALLING AND USING THIS SOFTWARE.

  5. THIS IS AN AGREEMENT BETWEEN YOU AND PORTABLE
  6. PROJECTS. BY INSTALLING OR USING THIS 
  7. SOFTWARE YOU ARE AGREEING TO THE TERMS AND 
  8. CONDITIONS OF THIS AGREEMENT.  IF YOU DO NOT 
  9. AGREE TO THE TERMS AND CONDITIONS OF THIS 
  10. AGREEMENT, DO NOT INSTALL OR USE THIS SOFTWARE.

  12. TERMS AND CONDITIONS
  13.  
  14. 1.  Grant of License.
  15.  
  16.     (a). Trial License.   Portable Projects 
  17.          grants to you the non-exclusive 
  18.          right and license to install and use, 
  19.          for your own internal purposes, 
  20.          one copy of the object code form of 
  21.          this software program.  
  22.          The license granted under this 
  23.          Paragraph 1(a) will terminate 
  24.          as set forth in Paragraphs 3 and 4.  
  25.  
  26.     (b). Full License. Upon your payment of 
  27.          the applicable license fee, Portable 
  28.          Projects will grant to you the 
  29.          non-exclusive right and license to 
  30.          install and use solely for your own 
  31.          internal purposes one copy of the 
  32.          object code form of this software 
  33.          program and all related user 
  34.          documentation (the "Software") for 
  35.          which the license fee is paid.  
  36.          The license granted under this 
  37.          Paragraph 1(b) will terminate as set 
  38.          forth in Paragraphs 3 and 4.  Upon 
  39.          such termination, you agree to 
  40.          destroy the Software and all copies.
  41.  
  42. You may use the Software on a single central 
  43. processing unit ("CPU"). You may not use the 
  44. Software on any network or simultaneously on 
  45. more than one single-user CPU.  All rights 
  46. not expressly granted to you by this 
  47. Agreement is reserved by Portable Projects.  
  48. This license is effective until terminated.  
  49. You may terminate it at any time by 
  50. destroying the Software together with all 
  51. copies.
  52.  
  53. 2.  Copyright.  Portable Projects retains all
  54. title, interest and proprietary rights in and
  55. to the Software.  You may not copy all or any
  56. part of the Software except: (i) to make one 
  57. copy of the Software solely for backup and
  58. archival purposes; or (ii) to transfer the 
  59. Software to a single hard disk.  
  60.  
  61. 3.  Other Restrictions. You shall not: 
  62. (i) modify, translate, reverse engineer, 
  63. de-compile, or disassemble the Software; 
  64. (ii) directly or indirectly export or 
  65. re-export the Software; (ii) disclose the 
  66. Software to any third party; or (iv) except 
  67. as otherwise provided herein, assign, sell, 
  68. lease, rent, sub-license, distribute, or 
  69. otherwise transfer or attempt to transfer 
  70. the Software.  You agree to use reasonable 
  71. efforts to keep the Software confidential.  
  72. If you have a license to the Software under 
  73. Paragraph 1(b) above, you may transfer the 
  74. Software solely on a permanent basis as long 
  75. as you retain no copies of the Software and 
  76. the recipient agrees, in writing, to the 
  77. terms of this Agreement.  
  78.  
  79. IF YOU FAIL TO COMPLY WITH ANY OF THE TERMS 
  80. OF THIS AGREEMENT, YOUR LICENSE SHALL 
  81. AUTOMATICALLY TERMINATE.  SUCH TERMINATION 
  82. SHALL BE IN ADDITION TO, AND NOT IN LIEU OF, 
  83. ANY CRIMINAL, CIVIL OR OTHER REMEDIES 
  84. AVAILABLE TO PORTABLE PROJECTS.
  85.  
  86. 4.  Infringement. If any of the Software is 
  87. found to, or if Portable Projects believes it
  88. may be found to infringe a patent, trademark,
  89. or copy right or misappropriate a trade 
  90. secret, Portable Projects, at their sole 
  91. option, may: (a) obtain a license to use such
  92. Software; (b) provide a substitute having 
  93. comparable or better functionality or 
  94. performance characteristics; or (c) terminate 
  95. this Agreement and your license to such 
  96. Software. 
  97.  
  98. 5.  Assignment by Portable Projects.  This 
  99. agreement and the rights and obligations of  
  100. Portable Projects hereunder may be assigned 
  101. by Portable Projects at any time without 
  102. notice to you.
  103.  
  104. 6.  Limited Warranty.  Portable Projects does 
  105. not warrant that the functions contained in 
  106. the Software will meet your requirements or 
  107. that the operation of the Software will be 
  108. uninterrupted or error-free.
  109.  
  110. 7.  No Other Warranties.  EXCEPT AS PROVIDED 
  111. HEREIN, THE SOFTWARE IS PROVIDED "AS IS" AND 
  112. PORTABLE PROJECTS EXPRESSLY DISCLAIMS ANY AND 
  113. ALL OTHER WARRANTIES, EXPRESSED, IMPLIED OR 
  114. STATUTORY CONCERNING THE SOFTWARE OR THE 
  115. APPLICATION, OPERATION OR USE THEREOF, OR THE
  116. DATA GENERATED BY THE OPERATION OR USE 
  117. THEREOF, INCLUDING, ANY IMPLIED WARRANTY 
  118. ARISING BY STATUTE OR OTHERWISE IN LAW OR 
  119. FROM A COURSE OF DEALING OR USAGE OF TRADE 
  120. AND ALL IMPLIED WARRANTIES OF MERCHANTABILITY
  121. OR OF MERCHANTABLE QUALITY, NON-INFRINGEMENT 
  122. OR OF FITNESS FOR ANY PURPOSE, PARTICULAR, 
  123. SPECIFIC OR OTHERWISE, CONCERNING THE 
  124. SOFTWARE AND THE ACCOMPANYING WRITTEN 
  125. MATERIALS AND THE APPLICATION, OPERATION, OR
  126. USE THEREOF.
  127.  
  128. 8.  NO LIABILITY FOR DAMAGES.  You assume the
  129. entire risk as to the quality and performance
  130. of the Software.  IN NO EVENT SHALL PORTABLE
  131. PROJECTS HAVE LIABILITY TO YOU OR ANY OTHER
  132. PERSON OR ENTITY FOR DAMAGES IN THE FORM 
  133. OF CONSEQUENTIAL, INCIDENTAL, OR SPECIAL 
  134. DAMAGES, LOST PROFITS, LOST SAVINGS, LOST
  135. DATA, LOSS OF GOODWILL OR OTHERWISE, OR FOR
  136. EXEMPLARY DAMAGES, RESULTING FROM YOUR USE
  137. OR INABILITY TO USE THE SOFTWARE, EVEN IF 
  138. PORTABLE PROJECTS HAS BEEN ADVISED OF THE
  139. POSSIBILITY OF SUCH DAMAGES.  
  140. PORTABLE PROJECTS'S AGGREGATE LIABILITY FOR
  141. ALL CLAIMS UNDER THIS AGREEMENT SHALL NOT
  142. EXCEED THE AMOUNTS RECEIVED BY PORTABLE
  143. PROJECTS FROM YOU FOR SOFTWARE LICENSED
  144. HEREUNDER.
  145.  
  146. 9.  Governing Law.  This Agreement shall be
  147. governed by, and construed in accordance
  148. with, the internal laws of the Netherlands.
  149.  
  150. 10.  Entire Agreement. This Agreement is the
  151. entire agreement between you and Portable
  152. Projects regarding the Software, and it
  153. supersedes any information you received
  154. relating to the Software or the subject
  155. matter of this Agreement.

  158. YOU ACKNOWLEDGE THAT YOU HAVE READ THIS
  159. LICENSE AGREEMENT AND, BY INSTALLING OR USING
  160. THE SOFTWARE PROGRAM CONTAINED ON THIS
  161. COMPACT DISK, FLOPPY DISK, OR DOWNLOADED
  162. FILE INDICATE YOUR ACCEPTANCE OF THE TERMS
  163. AND CONDITIONS HEREIN.
